Terms of Service

Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of NexusPort AI, operated by NexusSuite Platforms ("NexusSuite," "we," "us," or "our"). By accessing our website, requesting a demo, or using our platform under a signed agreement, you agree to these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
Description of Service
NexusPort AI is an enterprise data intelligence, migration, and modernization platform. The service enables organizations to discover, classify, validate, and migrate structured, semi-structured, and unstructured data across systems and environments for M&A, modernization, compliance, and governance programs.
Use of Service
You may use NexusPort AI only for lawful business purposes and in accordance with your applicable order form, statement of work, or enterprise agreement.
Prohibited uses include, without limitation:
- Accessing the platform without authorization or exceeding granted permissions
- Attempting to reverse engineer, decompile, or extract source code or models
- Introducing malware, interfering with platform security, or disrupting service availability
- Using the service to process data you do not have lawful rights to process
- Reselling or sublicensing the platform except as expressly permitted in writing
Customer Data
You retain all right, title, and interest in your data. NexusPort AI processes customer data solely to deliver the services described in your agreement.
We do not use customer data to train general-purpose AI models. We do not retain customer data after an engagement concludes, except as required by law or as expressly agreed in writing (for example, audit logs containing operational metadata only).
Confidentiality
Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes of evaluating or performing under the applicable agreement. Confidential information includes non-public business, technical, and engagement details disclosed in connection with NexusPort AI.
Intellectual Property
NexusPort AI, including its software, workflows, documentation, branding, and underlying technology, is owned by NexusSuite Platforms and its licensors. No rights are granted except as expressly set forth in your agreement.
Feedback you provide may be used by NexusSuite to improve the platform without obligation to you, unless otherwise agreed in writing.
Payment Terms
Fees for NexusPort AI are defined in your applicable order form or master services agreement. Engagements may be structured as:
- Project-based — scoped discovery, migration, or modernization work with defined deliverables
- Program-based — multi-workstream or enterprise rollout engagements
- Platform license — subscription or term license for ongoing platform access
Payment terms, invoicing schedules, and late fees are specified in your signed agreement.
Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.
Except for obligations that cannot be limited by law (including confidentiality breaches or indemnification obligations), each party's aggregate liability arising from these Terms or use of the service shall not exceed the fees paid or payable by you to NexusSuite for the service in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless NexusSuite from claims arising from your data, your use of the service in violation of these Terms or applicable law, or your breach of your representations regarding data rights and authorization.
Termination
Either party may terminate an engagement or agreement as set forth in the applicable contract. Upon termination, your access to the platform will cease and customer data processing will conclude in accordance with our data retention and Zero Data Retention commitments.
Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Exclusive jurisdiction for disputes arising under these Terms shall lie in the state or federal courts located in Delaware, unless otherwise specified in a signed enterprise agreement.
